TERMS OF USE

These Terms, set forth a legally binding agreement between you (“you” or “your”) and Your CBD Stores Franchising, LLC, including its franchisees and corporate stores (“Sunmed,™” “we,” “us,” or “our”), and such Terms govern your membership terms and access/use of Sunmed therapy sessions (collectively, the “Membership”). Please read these Terms carefully before accepting any Membership or therapy sessions. Terms include any policies, rules and other terms referred to below. Therapy sessions are referred to as “Services” here in forth.

MEMBERSHIP TERMS & CONDITIONS

Memberships consist of Monthly (30 days), 3-Month (90 days) and 12-Month (365 days) Memberships during which time you are eligible to receive certain Services. The specific Services that you are eligible to and the corresponding service fee(s), including a one time Membership Enrollment Fee, are set forth in accordance with the Membership Agreement set forth above. The reference to unlimited Membership means unlimited access to book and reserve a Service or Services in accordance with your Membership Agreement and subject to availability, safety usage limits (which may limit your Service to a single daily session), and other applicable restrictions. Registration

  • Membership are subject to the execution of aliability waiver. Failure to execute a liability waiver means that Sunmed reserves the right to immediate terminate your membership and issue a refund based on the balance of your membership as of the date of termination.
  • Monthly Memberships requires an upfront payment. 3-month and 12-month memberships may be paid upfront or on a recurring monthly basis.
  • Packages: A package is a promotional feature to sign up to a limited number of Services (e.g., sessions) per a specified time period as you may have opted to in the Membership Agreement. Service packages are not available to all customers or members, and Sunmed reserves the right to cancel offering packages without prior notice at any time. Local locations may have additional restrictions and requirements with respect to availability, session limits and use.
  • Membership will commence on the date a member completes the Membership Agreement, including payment, and will expire 30 calendar day period from the date set forth in the Membership Agreement. The same commencement terms apply to the 3-month (90-day) and 12-months (365 days) corresponding Memberships
  • In addition to the corresponding Membership fee, a one-time initial registration fee will be assessed (“Membership Enrollment Fee”). The amount of the Membership Enrollment Fee is disclosed in the Membership Agreement. Membership Enrollment Fee is never refundable.
  • Memberships cannot be transferred or substituted; and only the registered member can have access to Services.
  • The prices and Terms in effect as of the Membership start date shall remain in effect for the duration of the applicable Membership period, provided that new or modified prices and Terms may apply to new Memberships and renewals, respectively.

  • For purposes of identification and billing, you agree to provide us with current, accurate, complete, and updated information including your name, address, telephone number, and applicable payment data. You agree to notify us promptly of any changes in your information, including any changes to your method of payment.
  • Any Membership fees, and any other charges expressed in these Terms are subject to applicable taxes.

Billing and Auto Renewal

  • All Memberships auto renew-except in California which requires your prior consent.
  • This means that, with respect to:
  • monthly Membership: your credit card will be charged on the date that your Membership Agreement is executed and on same billing date every month (successively on the first calendar day of the month extending the Membership for an additional month) until you cancel the Membership. (See below for cancellation terms and procedure.)
  • 3-month Membership: your credit card will be charged on the date that your Membership Agreement is executed and successively on same billing date every month; and prior to the end of a 3-month Membership (for a subsequent 3-month Membership renewal) unless and until you cancel the Membership as set forth below.
  • Prepaid 3-month Membership: your credit card will be charged on the date that your Membership Agreement is executed and prior to the end of a 3-month Membership (for a subsequent 3-month Membership renewal) unless and until you either decline such renewal and/or cancel the Membership as set forth below.
  • 12-month Membership: your credit card will be charged on the date that your Membership Agreement is executed and successively on same billing date every month; and prior to the end of a 12-month Membership (for a subsequent 12-month Membership renewal) unless and until you either decline such renewal or cancel the Membership as set forth below.
  • Prepaid 3-month Membership: your credit card will be charged on the date that your Membership Agreement is executed and prior to the end of a 12-month Membership (for a subsequent 12-month Membership renewal) unless and until you either decline such renewal and/or cancel the Membership as set forth below.
  • California registered members will receive a notice for consent to renew prior to expiration of your membership.

Billing Errors:

In the event of a billing error, whether due to clerical mistake, system malfunction, or miscalculation, Sunmed reserves the right to correct the invoice and issue a revised statement. You will be notified of any such corrections within five [5] business days of discovery. If an over payment has occurred, Sunmed will apply the excess amount as a credit to your account. If an under payment is identified, you agree to grant us the right to charge your credit card for the out standing balance within 10 calendar days of Sunmed discovery of the under payment.

Your are responsible for reviewing all invoices promptly and notifying Sunmed of any discrepancies within 10 calendar days of receipt. Failure to report billing errors within this period may result in the waiver of the right to dispute the charges.

Service Pause:

If you have registered for a 3- or 12-month membership, you have the benefit of pausing your membership for any reason. You can pause your membership once during your membership period for a single period of thirty calendar days (no daily or weekly pauses). This pause means that you will receive as an extension of thirty calendar days membership at no additional charge or fee. During your selected pause, access to Services will not be permitted. Cancellation of Membership:

  • Monthly Memberships: There is a strict no-refund policy for Monthly Memberships. No substitutes, refunds or credits will be issued. To cancel, you must remit (see below for the process) a cancellation written notice fifteen (15) days prior to the end of any given month. No Cancellation fee is due.
  • 3-Month Memberships (both prepaid and monthly) are not eligible for a refund. To cancel, you must remit (see below for the process) a cancellation written notice (30) days prior to the end of the 3-Month. No Cancellation fee is due.
  • 12-Month Membership paid monthly is not eligible for a refund. A cancellation notice of thirty (30) days prior to the end of any given month is required. No Cancellation fee is due.
  • 12-Month Pre-Paid Memberships are eligible for a refund (See below). To cancel and obtain a refund a full month prior written notice is required. This will result in one additional monthly Membership fee payment due. You are eligible to use your Membership for this final Membership month. No cancellation fee is due. No substitutes.

Process

  • All membership cancellations require you to deliver a written notification by writing us via email to support@sunmedwellness.net
  • It may require up to five business days for a cancellation to be processed.
  • All notification of cancellation require our written approval.
  • If eligible for a refund, a refund will be issued to your credit card on record. No cash or substitute payment will be available.

Access to Services

  • Memberships allow members to receive a daily (single) visit per day and are subject to certain additional restrictions as set forth in Services – Sunmed Modern Wellness. Wellness including limited form of Services (therapies) per visit. Services are also subject to availability,and we cannot guarantee that Services will be available due to equipment break downs, repairs and demand. Members must schedule in advance for Services.   • SUNMED CANNOT GUARANTEE THAT SERVICES WILL BE AVAILABLE EVEN WHEN YOU HAVE MADE A PRIOR RESERVATION.
  • A scheduled Service must be cancelled 24 hours before its start time. Failure to submit a cancellation timely, may result in a no-show fee, not to exceed $20.00. Please arrive 5-10 minutes before your session. If you are more than 5 minutes late, your session may be cancelled and offered to the next scheduled appointment.
  • Sunmed reserves the right to terminate or decline to renew your Membership for any reason not prohibited by law including, but not limited to, an unsatisfactory payment history or failure to comply with any rules, policies, or modifications to rules or policies during the Membership. Sunmed reserves the right to collect at any time any delinquent or outstanding balance(s) that has not been paid, including for any services or products provided or monthly payments owed.

ADDITIONAL TERMS AND CONDITIONS

  • Sunmed does not have lockers available onsite; but we do have individual storage bins for you to keep your belongings. It is your responsibility to make sure that all belongings are kept safe. Sunmed cannot be held liable for the loss or damage of your belongings at the Sunmed location.
  • Prior to participating in any session or receiving services, you must remove all electronics, including phones, and keys such as fobs and tags. Failure to remove electronics and phones may result in damage depending upon the Services. We are not responsible for any damages or loss to electronics.
  • All members are expected to act respectfully to instructors, employees, and other members. Any one who is not respectful will be asked to leave the premises and if in appropriate behavior continues, their Membership maybe terminated without refund for remaining sessions in the month. Examples of inappropriate behavior include, but are not limited to, harassing others in the facility (verbally and physically), purposely damaging the equipment in the location, and use of illegal drugs or alcohol use.

  • You acknowledgment that you have not entered into a fitness or gym membership, and that there is NO warranty of merchant ability or fitness for a particular purpose.

TEXT AND CALLS CONSENT

You agree and consent to receive automated marketing calls or texts (e.g., marketing, promotions, discounts, offers for products and/or services, and other activities) from or on behalf of Sunmed and its affiliates at the phone number(s) you have provided to Sunmed. This consent is not a condition of purchasing products or services from us. You acknowledge that message frequency varies and that message and data rates may apply. You further acknowledge that certain of such calls or texts may be artificial and/or pre-recorded. You may opt out at any time by following the applicable instructions provided in such calls or texts.

Limitation of Liability: SUNMED (AND/OR ANY OF ITS AFFILIATES, OR ANY OF THE LOCATIONS OR STORES PERFORMING THE SERVICES) SHALL HAVE NO DIRECT, CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, UNDER THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LIABLITY, AND NOT WITH STANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY, IN THE EVENT THE FOREGOING IS NOT ENFORCEABLE, SUNMED (AND/OR ANY OF ITS AFFILIATES, OR ANY OF THE LOCATIONS OR STORES PERFORMING THE SERVICES) TOTAL LIABLITY UNDER THIS AGREEMENT IS LIMITED TO ONE HUNDRED DOLLARS ($100) ..

General Disclaimer

The Summed Services received or facilities utilized are intended for general purposes only and are not intended to be a substitute for professional medical treatment for any condition, medical or otherwise, that you the member may have. You will fully indemnify and hold Sunmed harmless, its affiliates, representatives, agents, staff and suppliers, from and against all liabilities, claims, expenses, damages and losses, including legal fees (on an indemnity basis), arising out of or in connection with the Services and/or facilities.
